Terms and Conditions

1. Definitions
In these Terms and Conditions, the following definitions apply:
- “Platform” means the website itauditdirectory.com, including all sub-pages, features and services operated by IT-Audit Directory.
- “We”, “us”, “our” means IT-Audit Directory, the operator of the Platform.
- “User” means any individual or legal entity that accesses or uses the Platform, whether as a visitor, a person requesting a quote, or in any other capacity.
- “Auditor” means any IT audit firm, sole practitioner, or organisation that is listed on the Platform, whether through a claimed or unclaimed profile.
- “Quote Request” means a request submitted by a User through the Platform to receive one or more quotations from Auditor(s) for IT audit services.
- “Subscription” means a paid plan (Starter, Pro, or Unlimited) selected by an Auditor for enhanced visibility and additional features on the Platform.
- “Content” means all text, images, logos, graphics, data, software, and other materials displayed on or made available through the Platform.
2. Scope and Acceptance
These Terms and Conditions (“Terms”) govern your access to and use of the Platform. By accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.
We may supplement these Terms with additional terms or policies specific to certain features or services. In the event of a conflict, the specific terms shall prevail over these general Terms with respect to that feature or service.
3. Description of the Platform
The Platform is an online comparison and directory service that enables Users to find, compare and request quotes from IT audit firms. The Platform acts solely as an intermediary. We are not a party to any agreement, engagement or contract between a User and an Auditor. We do not provide, endorse or guarantee any IT audit services listed on the Platform.
4. User Obligations
By using the Platform, you agree to:
- Provide accurate, current and complete information when submitting forms or creating an account;
- Use the Platform only for lawful purposes and in accordance with these Terms;
- Not attempt to gain unauthorised access to any part of the Platform, its servers or any connected systems;
- Not use automated tools (including bots, scrapers, crawlers) to access, extract or interact with the Platform without our prior written consent;
- Not transmit any viruses, malware or other harmful code;
- Not impersonate any person or entity or misrepresent your affiliation;
- Not use the Platform in any manner that could disable, overburden or impair its functioning.
5. Quote Requests
When you submit a Quote Request, your contact details and the information included in the form are forwarded to the Auditor(s) you have selected. By submitting a Quote Request, you consent to this transfer.
We do not guarantee that any Auditor will respond to your request, nor do we guarantee the accuracy, quality, timeliness or suitability of any quotation or service offered by an Auditor. Any contract for services is entered into solely between you and the Auditor. We bear no responsibility for the performance or non-performance of any such contract.
6. Auditor Listings and Profiles
Auditors may be listed on the Platform based on publicly available information or through a profile claimed or created by the Auditor. By claiming or creating a profile, the Auditor warrants that:
- All information provided is accurate, truthful and up to date;
- The Auditor is legally authorised to provide the services described;
- The Auditor holds all necessary licences, certifications and professional accreditations;
- The Auditor will promptly update any information that becomes inaccurate or outdated.
We reserve the right, at our sole discretion, to edit, suspend or remove any Auditor profile that contains inaccurate, misleading or inappropriate information, or that violates these Terms, without prior notice and without liability.
7. Subscriptions, Payment and Pay-per-Lead
Auditors may purchase Subscriptions for enhanced visibility, additional leads and premium features. Subscription plans, pricing and features are set out on the “For Auditors” page and may be amended from time to time.
- All payments are processed securely via Stripe. By subscribing or using the pay-per-lead model, you agree to Stripe's Terms of Service.
- Subscriptions are prepaid: payment is collected in advance at the start of each billing cycle before access to premium features is granted.
- Under the pay-per-lead model, Auditors are charged per received lead via the payment method on file. Leads are only delivered after successful payment authorisation.
- All prices are exclusive of applicable VAT unless stated otherwise.
- In the event of a failed or declined payment, access to paid features may be suspended immediately until a valid payment method is provided and payment is successfully processed.
- You are responsible for ensuring that your payment method on file with Stripe is valid and up to date at all times.
8. Cancellation and Refunds
Auditors may cancel their Subscription at any time through their account settings or by contacting us in writing. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of the period you have already paid for. No refunds are provided for partial billing periods or unused leads.
Pay-per-lead charges are non-refundable once the lead has been delivered to the Auditor, as the service has been fully performed at that point.
If you are a consumer entering into a Subscription, you may have a statutory right of withdrawal within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. However, by using the service immediately upon purchase, you acknowledge and agree that you lose the right of withdrawal once the service has been fully performed during the withdrawal period.
9. Intellectual Property
All Content on the Platform, including but not limited to text, graphics, logos, icons, images, data compilations, software, the name “IT-Audit Directory” and the overall design and layout of the Platform, is owned by or licensed to us and is protected by copyright, trademark and other intellectual property laws.
You may not, without our prior written consent:
- Reproduce, duplicate, copy, sell, resell or exploit any portion of the Platform or its Content;
- Use any data mining, robots or similar data gathering and extraction tools;
- Frame or mirror any part of the Platform;
- Create derivative works based on the Platform or its Content.
Auditors retain ownership of their own logos, trademarks and profile information submitted to the Platform and grant us a non-exclusive, royalty-free, worldwide licence to display such materials on the Platform for the duration of their listing.
10. Disclaimer of Warranties
The Platform and all Content are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, we expressly disclaim all warranties, whether express, implied, statutory or otherwise, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Warranties that the Platform will be uninterrupted, error-free, secure or virus-free;
- Warranties regarding the accuracy, reliability or completeness of any information, listing or quote.
We do not warrant or endorse the qualifications, competence, quality of work or professional standing of any Auditor listed on the Platform. Users engage Auditors entirely at their own risk.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, loss of goodwill, or any other intangible losses, arising out of or in connection with your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.
- Our total aggregate liability for all claims arising out of or in connection with these Terms or the Platform shall not exceed the greater of (a) the total fees paid by you to us in the 12 months preceding the event giving rise to the claim, or (b) £100.
- Nothing in these Terms shall limit or exclude our liability for (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be lawfully excluded or limited under the laws of England and Wales.
12. Indemnification
You agree to indemnify, defend and hold harmless IT-Audit Directory, its officers, directors, employees, agents and affiliates from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Platform;
- Your breach of these Terms;
- Your violation of any applicable law, regulation or third-party right;
- Any content or information you submit to or through the Platform.
13. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, riots, governmental actions, power failures, internet or telecommunications failures, cyberattacks, or third-party service outages. Our obligations shall be suspended for the duration of the force majeure event.
14. Termination
We may suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason, including but not limited to breach of these Terms, without prior notice and without liability. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to Sections 9 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification) and 16 (Governing Law).
15. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data collection and processing practices.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer habitually resident in the United Kingdom, you will benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.
17. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such invalidity, illegality or unenforceability shall not affect any other provision of these Terms, which shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that achieves, to the greatest extent possible, the original economic and legal purpose of the invalid provision.
18. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and IT-Audit Directory regarding the use of the Platform and supersede all prior agreements, understandings and representations, whether written or oral.
19. No Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall only be effective if in writing and signed by us.
20. Amendments
We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be communicated by a prominent notice on the Platform or by email at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the amended Terms, you must cease using the Platform.
